FeedHeat Contributor Terms and Conditions

1. Who we are

These Terms and Conditions ("Terms") govern your participation in the FeedHeat contributor programme.

The programme is operated by Nocode LTD, a company incorporated in the Republic of Cyprus, trading as FeedHeat, with its registered office at Griva Digeni, 51, ATHINAION COURT, Flat/Office 202, Paphos 8047, Cyprus. Our VAT number is CY60023829V.

In these Terms, "FeedHeat", "we", "us" and "our" mean Nocode LTD. "You", "your" and "Contributor" mean the individual who applies to or participates in the programme.

2. Definitions

Order — a task made available to you through the Platform, comprising supplied Content, a target subreddit or thread, the applicable subreddit rules, a deadline and a stated Payout.

Content — the text, title, body, suggested replies and any other material we supply to you in connection with an Order.

Submission — the permalink and screenshot you provide to us evidencing that you have published the Content.

Payout — the amount stated for an Order at the time you claim it, together with any bonus described in clause 9.

Platform — the FeedHeat website, contributor dashboard and any related tools we make available to you.

Reddit Account — a Reddit user account that you own and control and that you have registered with us.

Reddit Rules— Reddit's User Agreement, Content Policy, and the rules of any subreddit in which Content is published, each as amended from time to time.

3. Acceptance

By ticking the acceptance box during application, or by claiming any Order, you agree to be bound by these Terms. If you do not agree to these Terms, do not apply and do not claim Orders.

These Terms, together with our Privacy Policy at feedheat.com/docs/privacy, form the entire agreement between you and us in relation to the programme.

4. Eligibility

To participate you must:

  • a)be at least 18 years old;
  • b)have full legal capacity to enter into a binding contract;
  • c)own and personally control each Reddit Account you register with us;
  • d)be able to read and follow written instructions in English;
  • e)be legally permitted to receive payments from us, and not be a person with whom we are prohibited from dealing under applicable sanctions or export control laws; and
  • f)meet the account criteria published on our application page, which currently include a minimum account age and minimum combined karma.

We may verify your eligibility at any time and may decline any application at our discretion, without giving reasons.

5. Nature of our relationship

5.1

You participate as an independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, agency or franchise between you and us.

5.2

You are not our employee, worker or agent. You have no authority to bind us, to represent yourself as acting on our behalf, or to hold yourself out as a representative of FeedHeat or of any of our clients.

5.3

You are free to accept or decline any Order. There is no minimum commitment, no quota, no exclusivity and no penalty for declining. Equally, we are under no obligation to make any Order available to you, and we give no guarantee as to the number, frequency, type or value of Orders you will receive.

5.4

You are responsible for your own equipment, internet connection, working arrangements and business costs. There are no fees payable by you to us at any time.

5.5

You may work for any other person or business, including our competitors, without restriction.

6. Your Reddit Accounts

6.1

You may register one or more Reddit Accounts with us. Each Reddit Account must be one that you created and personally operate.

6.2

You must not register, use or publish from:

  • a)an account you purchased, rented, inherited, or otherwise acquired from another person;
  • b)an account operated wholly or partly by automation, scripts or bots; or
  • c)an account you do not personally control.
6.3

We will never ask you for your Reddit password, and you must never provide it to us or to anyone claiming to act for us. You remain solely responsible for the security of your Reddit Accounts.

6.4

We may limit the number of Orders that can be claimed per Reddit Account in any period. These limits exist to protect your accounts and are set at our discretion.

6.5

You must promptly tell us if a registered Reddit Account is suspended, banned, shadowbanned or otherwise restricted.

7. Orders

7.1

Orders are shown to you with the target subreddit or thread, the Content, the applicable subreddit rules, the deadline and the Payout. You see all of this before you claim.

7.2

Claiming an Order creates a binding commitment to complete that Order in accordance with these Terms and by the stated deadline. You may release a claimed Order before publishing it by notifying us through the Platform.

7.3

You are under no obligation to claim any Order. If an Order appears to you to conflict with subreddit rules, with Reddit Rules, with applicable law, or with your own judgement or ethics, you should decline it and, where you consider it appropriate, report it to us. There is no penalty for doing so.

7.4

Orders not completed by their deadline may be withdrawn and reassigned. No Payout is due for an Order that is not completed.

8. Publication and your responsibilities

8.1

You are the publisher. You publish Content from your own Reddit Account, in your own name, under your own control. As between you and us, you are the publisher of everything you post, and you are solely responsible for compliance with:

  • a)Reddit's User Agreement and Content Policy;
  • b)the rules of every subreddit in which you publish; and
  • c)all laws applicable to you in the country from which you publish.
8.2

Publish the Content as supplied. You may adapt the wording so that it reads naturally in your own voice, and we encourage this. However you must not:

  • a)remove, obscure, alter or weaken any disclosure of the paid or commercial nature of the post that is contained in the supplied Content;
  • b)state or imply that the post is unpaid, spontaneous or independent when it is not, if the supplied Content does not present it that way;
  • c)change the subject, product, claims or links in the Content; or
  • d)publish the Content in a subreddit or thread other than the one specified in the Order.

Publishing Content with a disclosure removed or altered is a material breach of these Terms and no Payout is due for that Order.

8.3

Personal performance. You must personally publish every Order you claim, from a Reddit Account registered to you. You must not subcontract, delegate, sell, transfer or share Orders, Content or your Platform account with any other person.

8.4

Honest submissions. Your Submission must be genuine. You must not falsify, edit or fabricate a permalink or screenshot, submit the same work twice, or submit work published by another person.

8.5

No manipulation. You must not use vote manipulation, coordinated voting, alternate accounts to amplify your own posts, purchased engagement, or any other technique prohibited by Reddit Rules in connection with an Order.

8.6

Retention. You must not delete a published Order, or edit it in a way that removes the Content, for at least 30 days after publication, unless a subreddit moderator or Reddit requires you to do so.

9. Verification, approval and payment

9.1

Verification. After you submit, we check that the post is live and matches the Order. We aim to complete verification within 24 hours, but this is a target and not a contractual deadline.

9.2

Approval. Approved Orders are added to your balance at the Payout stated when you claimed the Order.

9.3

Grounds for non-approval. We may decline to approve an Order and withhold the Payout where:

  • a)the post is not live at the time we verify it;
  • b)it was published in the wrong subreddit or the wrong thread;
  • c)the Content was materially altered contrary to clause 8.2;
  • d)a disclosure contained in the supplied Content was removed, obscured or weakened;
  • e)the Reddit Account used was purchased, rented, bot-operated or not personally controlled by you;
  • f)the permalink or screenshot was falsified or does not correspond to the Order;
  • g)the Submission duplicates a Submission already made by you or by another Contributor; or
  • h)the Order was published by someone other than you.

We will tell you the reason for non-approval and you may raise it with us under clause 18.

9.4

Payment schedule. We pay out weekly. All Orders approved during a given week are paid in a single payment on the following Friday. There is no minimum payout threshold.

9.5

Payment methods. We pay by PayPal by default. We may also offer payment by Wise, bank transfer or other methods at our discretion; available methods are shown in your dashboard. You are responsible for providing accurate payment details, and we are not liable for payments sent to details you supplied incorrectly.

9.6

Fees and currency. Payouts are stated in US dollars. You bear all payment processor fees, currency conversion costs and receiving-bank charges. The amount that reaches you may therefore be less than the stated Payout.

9.7

Survival bonus. Where an Order offers a survival bonus, it is payable if the post remains live and has not been removed at the end of the stated period, verified by us.

9.8

No clawback for removal. If a post is removed after your Payout has been approved, you keep the payment. Removal after approval is not a ground for recovery. This clause does not apply where clause 9.9 applies.

9.9

Recovery for fraud. Where a Payout was obtained through falsified evidence, a duplicate Submission, an account you did not control, or any other breach of clause 8.4, we may recover that amount, and may set it off against any balance owed to you.

9.10

Dormant balances. If your balance remains unpaid for three (3) months because you have not supplied valid payment details, or because payment attempts have failed for reasons attributable to you, and you have not responded to our reminders, the balance lapses and we cease to owe it to you. We will send at least one reminder to your registered email before this happens.

10. Tax

10.1

By accepting these Terms you confirm that you are self-employed or otherwise operating on your own account, and that you are solely responsible for declaring and paying all income tax, social security contributions, VAT and any other taxes or levies arising from your Payouts in every jurisdiction where you are liable.

10.2

Payouts are paid gross. We do not withhold, deduct, account for or report tax on your behalf, except where we are required to do so by law.

10.3

You must provide any tax information or documentation we are legally required to collect from you. If you do not, we may withhold Payouts until you do.

10.4

If we suffer any tax, contribution, penalty or interest because of a misstatement by you under this clause 10, you will reimburse us for it.

11. Intellectual property

11.1

Our Content. All Content remains owned by us or our clients. We grant you a limited, non-exclusive, non-transferable, revocable licence to publish the Content once, in the subreddit or thread specified in the Order, for the purpose of completing that Order. That licence ends when the Order is completed, released or withdrawn.

11.2

Your edits. To the extent you create anything new by adapting the Content, or by writing replies in a thread follow-up Order, you assign to us all intellectual property rights in that material with effect from creation and, to the extent any right cannot be assigned, grant us an irrevocable, worldwide, royalty-free licence to use it. You waive any moral rights in it to the fullest extent permitted by law.

11.3

Use of published posts. You grant us a perpetual, worldwide, royalty-free licence to reproduce, display and distribute the published post — including its text, permalink, engagement metrics, and screenshots of it — in reports to our clients, in case studies, and in our own marketing materials.

11.4

Our brand. You may not use the FeedHeat name, logo or branding, or the name or branding of any of our clients, except as expressly contained in the supplied Content.

12. Confidentiality

12.1

You must keep confidential all non-public information you learn through the programme, including the identity of our clients, unpublished Content, Payout structures, and the operation of the Platform.

12.2

This obligation continues for two (2) years after your participation ends. It does not apply to information that is or becomes public through no fault of yours, or that you are required by law to disclose.

12.3

Nothing in this clause prevents you from stating publicly that you participate in a paid Reddit contributor programme, or from making any disclosure required by law or by subreddit rules.

13. Data protection

13.1

We are the data controller for the personal data you provide to us, including your name, email address, Reddit handles, payment details and Submissions. We process it in order to operate the programme, verify Orders, pay you and comply with our legal obligations.

13.2

Our Privacy Policy at feedheat.com/docs/privacy explains what we collect, why, how long we keep it, who we share it with, and the rights you have under the EU General Data Protection Regulation and other applicable data protection law. Please read it.

13.3

You must not upload to the Platform any personal data of third parties beyond what is unavoidably contained in a screenshot of a public Reddit thread.

14. Prohibited conduct

You must not:

  • a)breach Reddit Rules or the rules of any subreddit in connection with an Order;
  • b)use a purchased, rented, shared or bot-operated account;
  • c)share your Reddit password with us or any third party, or share your Platform account;
  • d)subcontract or transfer any Order;
  • e)falsify a Submission or submit work you did not personally publish;
  • f)engage in vote manipulation or any other artificial amplification;
  • g)misrepresent your identity, location, account ownership, karma or account age;
  • h)publish Content that you know to be false, defamatory, or unlawful in your jurisdiction;
  • i)hold yourself out as an employee, agent or representative of FeedHeat or of any client;
  • j)attempt to access parts of the Platform you are not authorised to access, or interfere with its operation; or
  • k)participate while subject to sanctions or while otherwise prohibited from receiving payment from us.

15. Suspension and termination

15.1

By you. You may stop participating at any time. Orders already approved will be paid in the normal cycle. Orders claimed but not completed will be withdrawn.

15.2

By us, on notice.We may end your participation for any reason on seven (7) days' written notice. Orders already approved will still be paid.

15.3

By us, immediately. We may suspend or terminate your participation, withhold unpaid Payouts for affected Orders, and close your account with immediate effect and without notice where we reasonably believe that you have:

  • a)falsified a Submission or otherwise acted fraudulently;
  • b)used a purchased, rented or bot-operated account;
  • c)shared your Reddit password or your Platform account;
  • d)removed or weakened a disclosure contained in supplied Content;
  • e)subcontracted an Order;
  • f)had Content repeatedly removed by subreddit moderators or by Reddit in circumstances attributable to your conduct;
  • g)become subject to sanctions or otherwise ceased to be eligible under clause 4; or
  • h)otherwise materially breached these Terms.
15.4

Suspension under clause 15.3 does not affect Payouts for Orders properly completed and approved before the conduct in question, unless clause 9.9 applies.

15.5

Clauses 8.1, 9.9, 10, 11, 12, 13, 16, 17, 18 and 19 survive termination.

16. Disclaimers

16.1

No guarantee of work. We do not guarantee that any Orders will be available to you, in any volume, at any time, or in any subreddit.

16.2

No guarantee of earnings. Any earnings figures shown on our website, in marketing materials or in communications with you are illustrative estimates based on typical activity. They are not a promise, projection or guarantee of what you will earn. Your actual earnings depend on the Orders you choose to claim, your accounts, your subreddits and demand from our clients.

16.3

Risk to your accounts. Promotional posting on Reddit carries an inherent risk that a post is removed or that an account is restricted, suspended, shadowbanned or banned. You accept that risk. We take steps to reduce it — per-account rate limits, subreddit rules supplied with every Order, and screening of Orders against subreddit self-promotion policies — but we cannot and do not guarantee any outcome, and we are not liable for any loss of, or damage to, any Reddit Account, karma, reputation or standing.

16.4

Platform availability.The Platform is provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free.

17. Liability and indemnity

17.1

Cap. Subject to clause 17.3, our total aggregate liability to you arising out of or in connection with these Terms or the programme, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total Payouts we paid you in the three (3) months immediately before the event giving rise to the claim.

17.2

Excluded losses. Subject to clause 17.3, we are not liable for loss of profit, loss of opportunity, loss of anticipated earnings, loss of or damage to any Reddit Account, loss of karma or reputation, or any indirect or consequential loss.

17.3

What we do not exclude. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded or limited.

17.4

Your indemnity. You will indemnify us against all losses, damages, costs, claims and reasonable legal expenses we suffer arising out of:

  • a)your breach of these Terms;
  • b)your breach of Reddit Rules or of any subreddit's rules;
  • c)any claim by a third party arising from Content you published, to the extent caused by your alteration of it, your choice of where to publish it, or your removal of a disclosure; or
  • d)your failure to meet a tax obligation under clause 10.

18. Complaints and disputes

18.1

If you disagree with a non-approval, a withheld Payout or any other decision, contact us at [email protected] within 30 days. We will review and respond within a reasonable period.

18.2

Before either of us starts court proceedings, we each agree to attempt in good faith to resolve the dispute informally for a period of thirty (30) days from written notice of it.

19. Governing law and jurisdiction

19.1

These Terms and any dispute arising out of or in connection with them, including non-contractual disputes, are governed by the law of the Republic of Cyprus.

19.2

The courts of the Republic of Cyprus have exclusive jurisdiction.

19.3

If you are an individual resident outside Cyprus, clauses 19.1 and 19.2 do not deprive you of the protection of any mandatory provisions of the law of your country of residence, or of any right you may have to bring proceedings there where the law of that country gives you that right notwithstanding this clause.

20. Changes to these Terms

20.1

We may amend these Terms. We will give you at least fourteen (14) days' notice by email to your registered address and by notice on the Platform.

20.2

If you claim an Order after the changes take effect, you accept them. If you do not accept them, stop claiming Orders and tell us; we will pay out any approved balance in the normal cycle and close your account.

20.3

Changes to the Payout for a given Order never apply retrospectively. The Payout shown when you claim an Order is the Payout that applies to it.

21. General

21.1

Assignment. You may not assign or transfer your rights under these Terms. We may assign ours to any successor to our business on notice to you.

21.2

No waiver. A delay or failure by us in enforcing any provision is not a waiver of it.

21.3

Severability. If any provision is held to be invalid or unenforceable, the rest remain in force, and the invalid provision is to be read down to the minimum extent needed to make it valid.

21.4

Third parties. No one other than you and us has any right to enforce these Terms.

21.5

Notices. We will send notices to your registered email address. You should send notices to [email protected]. Notices are treated as received on the next business day after sending.

21.6

Language. These Terms are made in English. Any translation is provided for convenience, and the English version prevails.

21.7

Entire agreement. These Terms and the Privacy Policy are the entire agreement between us regarding the programme, and replace any earlier understanding. Nothing in this clause limits liability for fraudulent misrepresentation.
